Jazeera Steel establishes US holding, operating arm

Al Jazeera Steel Products Co SAOG has completed the incorporation of two wholly-owned subsidiaries in the United States, giving the Suhar-based manufacturer a direct corporate presence in the American market, according to a disclosure filed with the Muscat Stock Exchange (MSX).
The company said the incorporation and legal establishment of both entities had been successfully completed, following its earlier disclosure of February 15, 2026, in which the board of directors approved the plan.
The structure comprises a US holding company, Jazz Steel Holding Inc, incorporated as a corporation with an initial capital of $2 million. It is wholly owned by Al Jazeera Steel Products Co SAOG.
Beneath it sits an operating entity, Jazz Steel Products LLC, incorporated as a limited liability company with a capital of $1.5 million. The operating company is wholly owned by the holding company rather than directly by the Omani parent — a two-tier arrangement that separates the group's US trading activity from the entity holding the investment.
'The establishment of these entities is intended to support and facilitate the Company's international operations and ongoing business activities in the United States,' the company said in the filing.
The disclosure was made under MSX rules requiring listed issuers to inform the market of material developments affecting their operations or corporate structure.
